ProspectKit User Agreement

Welcome to ProspectKit. This User Agreement ("Agreement") governs your access to and use of ProspectKit's platform, products, APIs, browser extensions, enrichment systems, prospect intelligence tools, and related services (collectively, the "Services").

By accessing or using ProspectKit, you agree to comply with this Agreement, our Privacy Policy, and any additional policies referenced within this document.

If you do not agree to these terms, you may not use the Services.

Eligibility and Acceptance of Terms

You must be at least 18 years old and legally authorized to enter into binding agreements to use ProspectKit. By using the Services, you confirm that: • You are legally eligible to use the platform • The information you provide is accurate • You will use the Services lawfully • You will comply with applicable privacy and data protection regulations If you are using ProspectKit on behalf of a company or organization, you represent that you have the authority to bind that organization to this Agreement.

Your ProspectKit Account

To access certain features, you may need to create an account. You are responsible for: • Maintaining account security • Protecting login credentials • Managing authorized access • Monitoring account activity • Ensuring lawful platform usage You agree not to: • Share accounts improperly • Create accounts using automated methods • Misrepresent identity or organization • Attempt unauthorized access to systems or data ProspectKit reserves the right to suspend or terminate accounts that violate this Agreement or create security, compliance, or operational risks.

Acceptable Use of ProspectKit Services

ProspectKit is designed for professional business use cases such as: • B2B prospecting • Revenue operations • Sales engagement • Lead qualification • Recruitment workflows • Market research • CRM enrichment • Pipeline management You may only use ProspectKit data and services for lawful and legitimate business activities.

Prohibited Activities

You agree not to use ProspectKit to: • Violate privacy or data protection laws • Send unlawful spam or unsolicited communications • Scrape or extract platform data automatically • Resell or redistribute prospect data • Reverse engineer platform systems • Access systems without authorization • Deploy bots, crawlers, or automated extraction tools • Interfere with platform infrastructure • Use the platform for fraudulent or harmful activities You may not reproduce, duplicate, copy, sell, sublicense, or commercially exploit ProspectKit data or services without written permission.

Responsible Data Usage

ProspectKit follows a verification-first approach to prospect intelligence and expects customers to use data responsibly. Users must: • Respect opt-out requests • Verify outreach compliance obligations • Maintain lawful communication practices • Use prospect intelligence ethically • Avoid abusive outreach behavior ProspectKit may restrict or suspend usage that creates compliance, reputational, or infrastructure risks.

Prospect Intelligence and Data Accuracy

ProspectKit continuously improves and refreshes platform data through enrichment, verification, and automated intelligence workflows. Subscription Plans and Usage Limits

Certain ProspectKit features require paid subscriptions. Subscription plans may include limits related to: • Credits • Exports • API requests • Enrichment usage • Team seats • Workflow automation • Calling activity • Data processing volume Usage beyond plan limits may require upgrades or additional usage allocations. ProspectKit reserves the right to update pricing, features, and usage policies at any time with reasonable notice.

Team Accounts and Workspace Management

Organizations may create shared workspaces and team environments. Workspace administrators may: • Invite or remove team members • Assign permissions • Manage workflows • Monitor account activity • Control workspace-level settings Users remain individually responsible for actions performed under their accounts.

API and Integration Usage

If you use ProspectKit APIs, integrations, or automation systems, you agree to: • Follow technical documentation • Respect rate limits • Avoid abusive automation • Maintain secure implementations • Prevent unauthorized access API usage must comply with all applicable laws and this Agreement. ProspectKit may suspend API access for security, compliance, or operational concerns.

Intellectual Property Rights

ProspectKit and its Services, including: • Software • Branding • Logos • Platform infrastructure • Workflow systems • Data models • AI systems • User interfaces • Documentation remain the exclusive property of ProspectKit and its licensors. This Agreement does not transfer ownership rights to users. You may not: • Copy platform systems • Reverse engineer software • Create derivative services • Reuse proprietary workflows • Reproduce protected intellectual property without written authorization.

Privacy and Data Protection

ProspectKit is committed to responsible data handling and privacy protection. Our data practices are governed by our Privacy Policy and applicable data protection regulations. ProspectKit supports compliance frameworks including: • GDPR • CCPA • Legitimate interest frameworks • Responsible outreach practices Users remain responsible for ensuring their own compliance obligations.

Communication and Outreach Compliance

Users are responsible for complying with laws related to: • Email outreach • Cold calling • SMS communication • Marketing consent • Data processing • International outreach regulations ProspectKit does not authorize unlawful communication activity or abusive outreach practices.

Platform Availability and Service Changes

ProspectKit continuously improves platform infrastructure and workflows. We may: • Modify features • Add new functionality • Update workflows • Adjust usage limits • Improve verification systems • Remove deprecated features without liability, provided changes are made in good faith to improve the platform or maintain compliance and security standards.

Suspension and Termination

ProspectKit reserves the right to suspend or terminate access if users: • Violate this Agreement • Abuse platform systems • Create legal or security risks • Engage in unlawful activities • Misuse prospect intelligence Users may stop using the Services at any time. Certain obligations related to compliance, intellectual property, liability, and lawful use survive termination.

Disclaimer of Warranties

ProspectKit Services are provided on an "as available" and "as is" basis. To the fullest extent permitted by law, ProspectKit disclaims warranties related to: • Platform availability • Data completeness • Continuous uptime • Error-free operation • Third-party integrations • Specific business outcomes ProspectKit does not guarantee revenue results, conversion outcomes, or uninterrupted service availability.

Limitation of Liability

To the maximum extent permitted by law, ProspectKit shall not be liable for: • Indirect damages • Lost revenue • Lost profits • Business interruption • Data loss • Operational disruption • Third-party claims arising from use of the Services. Total liability shall not exceed the fees paid by the user to ProspectKit during the applicable service period, unless otherwise required by law.

Indemnification

You agree to indemnify and hold harmless ProspectKit, its affiliates, employees, contractors, and partners from claims, liabilities, damages, or expenses arising from: • Your use of the Services • Violation of this Agreement • Violation of laws or regulations • Unauthorized outreach activity • Misuse of prospect data • Third-party disputes

Governing Law and Dispute Resolution

This Agreement shall be governed by applicable business and contractual laws based on ProspectKit's operating jurisdiction. Any disputes arising from this Agreement may be resolved through: • Informal resolution attempts • Arbitration procedures • Applicable courts where legally required Both parties agree to attempt good-faith resolution before initiating formal proceedings.

Updates to This Agreement
